TERMS OF SALES

THE PRICES, WEIGHTS, DIMENSIONS OF OUR PRODUCTS, AND THE RESISTANCE OF OUR LINES ARE INDICATIVE AND NOT CONTRACTUAL; THEY CAN NOT IN ANY CASE ENGAGE ANY RAPALA VMC COMPANY.


• PRICES
The prices shown in our price list are those in effect at the time of printing. They are therefore non-binding and may be changed without prior notice if circumstances so require.
Our prices are exclusive of taxes (excl. VAT). They are quoted per package or per unit, in euros (or another currency depending on the country).

• ACCOUNT OPENING
As part of the opening of a new customer account, it will be necessary to send us proof of Company registration, a bank account number and an order with a minimum value of 5.000 € + VAT or 1,000,000 HUF with payment in advance.

• ORDER TAKING
To better assist customers during the order process, our sales representatives have had access since January 1, 2026, to the B2B online ordering portal and can place orders directly on behalf of the customer using this tool.
If you wish to opt out of this process, please inform your local sales representative. In this case, orders must be submitted in writing to your sales representative, who will forward them to our Sales Administration Department (ADV).

• DELIVERIES
Times are given as an indication, deliveries outside of these times do not entitle the buyer to cancel the order, to refuse the goods or claim damages.

• FREE CARRIAGE
Orders of 100 € or more excluding VAT are delivered free of charge (shipping and packaging), except for our heavy and bulky products, where free delivery applies only for orders of 400 € excl. VAT or more: Dynamite Baits, level chairs, bed chairs, sleeping bags, luggage, boats, waders, float tubes, etc. (detailed list here). A 10 € excl. VAT fee will be added to any order below the free delivery amount.

• PAYMENTS
A discount of 1.5% is granted for payment within eight days from the invoice date.

• LATE PENALTIES
In case of non-payment to the agreed terms, our invoices will automatically begin to accumulate interest, at a rate of 1.50% per month until settlement. In addition, a fixed cost of 40 € for administration costs will be incurred.

• CAPITALIZATION OF LATE PENALTIES
Overdue penalties still unpaid after a period of one year will accumulate interest at the national rate.

• PENALTY CLAUSE
In the case of unpaid debts, the supplier is entitled to claim from the debtor, as a penalty clause, a lump sum compensation corresponding to 10% of the total amount of the unpaid, without formal notice in advance.

• COLLECTION COSTS
Bank charges related to declined cheques will be invoiced to the debtor as well as any postage costs related to the sending of any formal notices.

• CANCELLATION CLAUSE
In case of unpaid, the sale will be resolved automatically from the notice sent to the debtor.

• TERMINATION CLAUSE OF THE TERM
Failure to pay a single payment will result in the immediate payment of all our receivables and the suspension of deliveries.

• TITLE RETENTION CLAUSE
The supplied goods will remain our property until the full payment is received, this will allow us to recover them in case of unpaid.

• RISK TRANSFER CLAUSE
Despite the existence of a retention of title clause on our goods, the buyer will bear all the risks as from the receipt of these. As a result, he must have an insurance contract in place prior to the receipt of the goods.

• APPLICATIONS OF THE LEGAL GUARANTEE
The guarantee applied will be the legal guarantee at the time of the transaction, in all cases, we will not accept any repair or exchange of products under warranty unless the receipt or the duly completed and dated guarantee form is attached.

• CLAIMS RELATING TO TRANSPORT
Regarding disputes arising during transport, the onus is on the addressee to raise any discrepancies and necessary reservations specifying the nature of the issues, loss, missing, damage or delay. Claims concerning the quality of the goods must be made within 48 hours with the company.

• RETURN OF GOODS
All returns of goods must be subject to prior authorization from your local Rapala VMC Distributor or any other Rapala VMC affiliates. Products must be returned in their original packaging, untagged and undamaged.
Rapala VMC companies reserves the right to apply a discount on returned products (a minimum of 30%).

• OTHER CLAIMS
For all other claims (missing items or quantities / product delivered broken, defective or incomplete / price or discount error, etc.), these must be notified to us within a maximum of 2 months after the date of invoicing of the goods; after this period, our company reserves the right to refuse to deal with the claim.

• ATTRIBUTIVE CLAUSE OF COMPETENCE
In the event of litigation, both with our suppliers and with our clients, the attribution of competence is made to the courts from our head office.

• BRANDS AND LOGOS
The use of our trademarks, logos and images of our products is subject to authorization.
